Self-Hosting Terms of Service & Conditions of Use
By Self-hosting the Invoice Ninja platform, you are agreeing to the following terms of use:
Source Code License
As of June-2021, Invoice Ninja is officially using the “Elastic License 2.0.”
Self-hosting Invoice Ninja
Instructions on how to set-up Invoice Ninja on your own server can be found at www.invoiceninja.org. All Pro and Enterprise features from the hosted app are included in the self-hosted code.
For those choosing to self-host the Invoice Ninja platform, please note that you are agreeing that the platform is provided “as is” and “with all faults” and uses the platform at your own risk.
Right to Amend; Unilateral Modification
Invoice Ninja LLC reserves the absolute, unrestricted right to modify, amend, replace, suspend, or terminate these Terms of Service, in whole or in part, at any time and for any reason, at its sole discretion, without prior notice to you.
Any such modifications shall become effective immediately upon posting to the website, application, or related services, or upon any other notice method Invoice Ninja LLC elects to use. Your continued access to or use of the services after such modifications constitutes your irrevocable acceptance of the amended Terms.
If you do not agree to the modified Terms, your sole and exclusive remedy is to immediately cease all use of the services and close your account. Continued use shall be deemed conclusive evidence of acceptance.
Definitions
“Account Holder” refers to any individual or entity that installs, configures, self-hosts, or operates the Invoice Ninja platform, whether in a self-hosted or hosted environment.
“Invoice Recipient” refers to any third party who accesses the platform solely to view, receive, or pay invoices issued by an Account Holder, and who does not maintain an administrative account on the platform.
“Customer Data” refers to all data, documents, invoices, files, content, and information input, uploaded, generated, or processed through the platform by or on behalf of an Account Holder or Invoice Recipient. The terms “data” and “content”, when used in this Agreement, refer collectively to Customer Data and shall have the same meaning.
Eligibility
By agreeing to these Terms, you represent and warrant to us: (i) that you are at least eighteen (18) years of age; (ii) that you have not previously been suspended or removed from the Website and (iii) that your use of the Website is in compliance with any and all applicable laws and regulations.
Personal Responsibility
User Accounts must ensure the confidentiality of usernames and passwords used to access their account.
User Accounts are responsible for all activity occurring within their account including all laws relating to personal & public company data, privacy, personal information, international copyright and trademark laws.
You must obtain all necessary rights, releases and permissions to provide your data to Invoice Ninja. Your data and its transfer must not violate any applicable local, state, federal and international laws and regulations (“Laws”) (including without limitation those relating to export control or electronic communications).
Annual White-label License (Recurring)
Annual white-label licensing is fully non-refundable.
By signing up for the Invoice Ninja white-label license you are agreeing to allow Invoice Ninja to auto-bill your credit card annually for license renewal.
By providing us with a payment method, you represent and warrant that you are authorized to use such payment method.
We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion.
PEPPOL Credits Non-Refundable
PEPPOL credits $50/500 or $100/1000 remain valid for one calendar year from purchase
Reselling the Invoice Ninja SaaS
The Invoice Ninja platform may not be resold, integrated or bundled with third-party software and resold, white-labeled and resold, or marketing in any way without a contractual reseller agreement with Invoice Ninja LLC.

Data Ownership
The User or Self-hoster accounts own & take responsibility for all data generated in their self-hosted invoiceninja.com or rebranded account. Invoiceninja.com has no access to view/edit/modify/remove self-hosters data in any capacity
The User or Self-hoster are responsible for their data. Invoiceninja.com has no responsibility or liability for data hosted by third parties. The User or Self-hoster is responsible for any loss or damage a User Account may cause to their Clients or other people.
Your Obligations
You are solely responsible for, and Invoice Ninja disclaims all liability for, the provision of any goods or services sold to your customers or users as part of your use of the Invoice Ninja platform, and any obligations you may owe to your clients.
Customer Service
Customer service for your business is your responsibility. We provide customer service to you the account user, for use of the Invoice Ninja platform.
You are solely responsible for all customer service policies and issues relating to your goods or services, including pricing, order fulfillment, cancellations or no shows by you or a customer, returns, refunds and adjustments, rebates, functionality and warranty, technical support, and feedback concerning experiences with your personnel, policies or processes. In performing customer service, you will always present yourself as a separate entity from Invoice Ninja.
Data Usage Rights – Self-Hosted Software
If you deploy the software in a self-hosted environment, all Customer Data remains exclusively within your own infrastructure and under your sole control. Invoice Ninja LLC does not receive, access, collect, store, transmit, or process Customer Data from self-hosted deployments.
Accordingly, no license to Customer Data is granted to Invoice Ninja LLC in connection with self-hosted use of the software, except to the limited extent you voluntarily and explicitly provide such data to Invoice Ninja LLC for support, diagnostics, or other requested services.
The self-hosted version of the software does not include mandatory telemetry, tracking, or automated data transmission to Invoice Ninja LLC.
Recurring Billing
By signing up for the Invoice Ninja “white-label”, you are agreeing to allow Invoice Ninja to auto-bill your credit card annually to ensure that you do not experience any interruption of service or downgrade of account.
By providing us with a payment method, you represent and warrant that you are authorized to use such payment method.
We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion. Unless otherwise specified in such notice to you, any changes to the subscription fees will take effect in the billing period immediately following our notice to you.
Referral Program Use of Trademarked Materials
Users may utilize marketing materials provider for referral program marketing: https://www.invoiceninja.com/referrals-program/
However, the use of such materials does not constitute a licensing for use of the Invoice Ninja brand.
Referral Program users may utilize the provided Invoice Ninja materials in the capacity of marketing Invoice Ninja as a 3rd party entity, independent from themselves.
Referral Program Users may not create social media accounts or ‘community’ discussion board accounts presenting themselves as “Invoice Ninja”, or any of our noted trademarked brands.
Prohibited Activities
You may not use the Service for any unlawful, fraudulent, deceptive, or misleading purpose. Without limiting the foregoing, the following activities are strictly prohibited:
- Impersonation & Brand Misrepresentation
Using the Service to create, send, or distribute invoices, payment requests, or communications that:
- Falsely represent or imply affiliation with, endorsement by, or identity as another individual, company, brand, or organization (including but not limited to PayPal, Norton, technology support providers, financial institutions, or government entities); or
- Mislead recipients into believing the sender is a legitimate or known vendor when they are not.
- Deceptive or Fraudulent Billing Practices
Using the Service to invoice or solicit payment from individuals or entities:
- For goods or services that were not ordered, requested, contracted, or previously agreed upon;
- Under the false pretense of a renewal, subscription continuation, domain/URL renewal, software license renewal, or similar service where no existing business relationship exists; or
- In a manner intended to confuse, deceive, or pressure recipients into making payment under false assumptions.
- Phishing, Scams, and Social Engineering
Using the Service as part of any phishing scheme, scam, social engineering attempt, or other activity designed to fraudulently obtain money, personal data, credentials, or sensitive information.
Restricted Businesses
The following categories of businesses and business practices are restricted from using the Invoice Ninja platform (“Restricted Businesses”). In certain cases, businesses listed below may be eligible for processing with explicit prior approval, however businesses that offer illegal products or services are never eligible to use the Invoice Ninja platform. Businesses categories listed below in “Prohibitive Industries” are representative, but not exhaustive. If you are uncertain as to whether your business is a Restricted Business, or have questions about how these requirements apply to you, please contact Invoice Ninja ASAP for clarification: legal@invoiceninja.com
By opening an account with Invoice Ninja you are confirming that you will not use the Invoice Ninja platform in connection with the following businesses, business activities, or business practices, unless you have received prior written approval.
*It is prohibited to use the Service for any dealings, engagement, or sale of goods/services linked directly or indirectly with jurisdictions deemed high risk, such as but not limited to, Cuba, Iran, North Korea, Crimea Region, and Syria.
Prohibitive Industries
You may not use the Payment Services for the following businesses or business activities:
- any illegal activity or goods illegal in the location of seller or purchaser,
- paraphernalia that may be used for any illegal activity
- buyers clubs, including dues associated with such clubs,
- credit counselling or credit repair agencies,
- credit protection or identity theft protection services,
- direct marketing or subscription offers and/or services,
- infomercial sales,
- internet/mail order/telephone order pharmacies or pharmacy referral services (where fulfillment of medication is performed absent a physical visit,
- unauthorized multi-level marketing businesses,
- inbound or outbound telemarketers,
- prepaid phone cards or phone services,
- rebate based businesses,
- betting, including lottery tickets, sports related gambling, casino gaming chips, off-track betting, and wagers at races,
- manual or automated cash disbursements,
- prepaid cards, checks, insurance or other financial merchandise or services,
- sales of money-orders or foreign currency,
- wire transfer money orders,
- high-risk products and services, including telemarketing sales,
- automated fuel dispensers,
- sales of (i) firearms (ii) and ammunition,
- internet/mail order/telephone order of age restricted products (e.g., tobacco, alchohol),
- hate or harmful products.
Unauthorized Use of Trademarks & Branding
Users may not use trademarks, logos, trade names, or branding of third parties without express authorization.
Automated Use & API Abuse
Use of automation, scripts, bots, APIs, or bulk-sending mechanisms to generate or distribute invoices for deceptive, misleading, or unauthorized purposes is strictly prohibited.
“We Can Name You” Clause
Invoice Ninja reserves the right to notify affected brands, recipients, or authorities of misuse, including disclosure of the User’s business name and contact information where legally permitted.
Cooperation with Law Enforcement and Legal Action
You acknowledge and agree that:
- We may cooperate fully with law enforcement agencies, regulators, financial institutions, and affected third parties in investigating suspected fraud or illegal activity;
- We may disclose account information, IP addresses, and related records as required by law or deemed reasonably necessary to prevent harm or fraud;
- We reserve the right to pursue all available legal remedies, including civil action, to recover damages, costs, and attorneys’ fees arising from your misuse of the Service.
Indemnity
(i) You agree to protect, defend, indemnify and hold harmless Invoice Ninja and its officers, employees, and third-party service providers from and against all claims, demands, costs, expenses, losses, liabilities and damages of every kind (including reasonable attorneys’ fees) imposed upon or incurred by Invoice Ninja directly or indirectly arising from your use of and access to the Invoice Ninja site & platform;
(ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or
(iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right.
Zero Tolerance for Fraud
The Company maintains a zero-tolerance policy for fraud, impersonation, phishing, or deceptive invoicing. Any such use of the Service will be reported to relevant authorities.
Limited Liability
User Accounts and Clients agree to indemnify, defend, and hold invoiceninja.com, its directors or employees harmless against any and all liability and cost as a result of using invoiceninja.com. User Accounts and Clients shall not assert any claim or allegation of any nature whatsoever against invoiceninja.com, its directors or employees.
Invoiceninja.com shall not be liable for damages of any kind, including but not limited to loss of site use, loss of profits or loss of data, tort or otherwise, arising out of or in any way connected with the use of or inability to use invoiceninja.com.
You shall defend, indemnify and hold harmless invoiceninja.com from any loss, damages, liabilities, expenses, claims and proceedings arising out of your use of invoiceninja.com.
